Terms and Conditions of Consulting Services

  1. Introduction

1.1 These Terms set out the standard conditions under which PMN Transformation Services (Pty) Ltd (“PMN”) provides B-BBEE strategic advisory services, including transformation, social responsibility, and economic empowerment solutions.

1.2 No signature is required—continued engagement with PMN constitutes acceptance of these Terms.

1.3 These Terms must be read with any signed proposal (“Signed Proposal”). If there is a conflict, the Signed Proposal prevails.

1.4 Key definitions:

  1. Client/you: the party receiving Services.
  2. PMN/we/us: PMN Transformation Services (Pty) Ltd (Reg. No. 2015/141179/07), including directors, employees, and related entities.
  3. Instruction: any request from the Client for Services.
  4. Services: advisory/consulting services provided under these Terms.
  5. Services Contract: these Terms, any Signed Proposal, and related instructions or documents.
  6. Our Services

2.1 PMN will provide strategic advice within the scope of your Instructions. The nature and depth of advice depend on scope, accuracy of information, and timelines. Abbreviated or urgent advice may exclude detail.

2.2 General advice should not be used in specific transactions without further consultation.

2.3 Each Instruction ends once completed; new or ongoing matters require a separate engagement.

2.4 PMN is not liable for losses, costs, or damage resulting from reliance on advice.

  1. External Information

We may rely on third-party information (e.g., government agencies, experts, public registers) and accept no responsibility for errors, omissions, or losses arising from it.

  1. Employees of PMN

Work may be delegated to qualified consultants for efficiency. While continuity is sought, staff changes may occur, and notice will be given where possible.

  1. Client Obligations

5.1 You must provide accurate, complete, and timely information.

5.2 You agree to:

  1. Provide instructions, documents, and information promptly.
  2. Ensure all information is true and not misleading.
  3. Notify PMN of any changes.

5.3 PMN is not responsible for losses from inaccurate or incomplete information.

5.4 You remain responsible for all commercial decisions; PMN’s role is advisory only.

  1. Fees

6.1 Basis: Fees are time-based, subject to complexity, urgency, expertise, and outcomes. Rates are reviewed annually. VAT is excluded.

6.2 Estimates: Provided in good faith and only binding if confirmed in a Signed Proposal.

6.3 Disbursements: You are liable for related expenses (e.g., experts, couriers, travel and accommodation).

6.4 Deposits: PMN may require an upfront deposit before commencing work.

6.5 Invoicing: Invoices are payable within 30 days; queries must be raised within 14 days. PMN may suspend or terminate Services for unpaid invoices.

6.6 Referral Fees: PMN may receive referral fees from providers introduced to you. This does not affect your payments, and you remain free to use alternative providers.
